Governing Law: Province of Nova Scotia and the federal laws of Canada applicable therein

1. Platform Operator

Fund Community First is a community crowdfunding platform operated by 13710645 Canada Ltd, a federally incorporated Canadian corporation, with operations in Nova Scotia.
Nexus Mart and NorthStar Support Services are additional operating brands of the same legal entity.

These Campaign Creator Terms and Conditions (“Campaign Creator Terms”) govern your access to and use of the platform as a Campaign Creator.

By creating or launching a campaign on Fund Community First, you agree to be legally bound by these Terms.

These Terms exist to protect supporters, ensure transparency, and maintain a trustworthy crowdfunding environment.


2. Definitions

  • Campaign Creator — An individual or organization launching a fundraising campaign.
  • Supporter / Donor — An individual or entity contributing funds to a campaign.
  • Sponsor — A business or individual purchasing promotional placement.
  • Reward / Perk — A non-financial thank-you item offered to supporters.
  • Verified Spending™ / Escrow Services — Optional transparency and fund-control features.
  • Platform — Fund Community First, operated by 13710645 Canada Ltd.

3. Eligibility Requirements

To launch a campaign, you must:

  • Be at least 18 years of age
  • Provide accurate and complete personal, financial, and campaign information
  • Successfully complete any required identity or business verification (KYC)
  • Reside in, or operate from, a supported country
  • Be authorized to act on behalf of any organization you represent

Fund Community First reserves the right to approve, deny, suspend, or remove campaigns at its sole discretion.


4. Campaign Creation Rules

You agree to:

✔ Provide truthful, accurate, and complete information
✔ Clearly describe your campaign purpose, goals, and intended use of funds
✔ Use lawful, ethical, and non-harmful content
✔ Communicate professionally and respectfully with supporters
✔ Avoid misleading statements, exaggerations, or material omissions

Prohibited campaigns include, but are not limited to:

  • Hate, harassment, violence, or illegal activity
  • Misrepresentation or impersonation
  • Sale of regulated or prohibited goods
  • Investment offerings, securities, equity, debt, or financial returns

5. Use of Funds

You agree to:

  • Use funds solely for the purposes described in your campaign
  • Maintain accurate financial records
  • Notify supporters of material changes to your campaign
  • Keep spending consistent with your stated budget and disclosures

Misuse of funds may result in suspension, fund freezing, or legal action.


6. Surplus Funds Policy

Surplus funds may arise when:

  • A campaign exceeds its funding goal, or
  • Actual expenses are lower than anticipated

You agree to notify the platform and allocate surplus funds using one of the following approved options:

  • Reinvestment into the same project
  • Support of a related community initiative
  • Contribution to the platform’s community pool

Campaigns displaying a Surplus Disbursement Participant badge may be required to submit documentation prior to surplus allocation.


7. Fees, Withdrawals & Payment Handling

7.1 Fees

Fees may include:

  • Payment processing fees
  • Optional trust, escrow, or verification services
  • Platform support allocations as disclosed on the Pricing or Campaign page

7.2 Withdrawals

Funds may be disbursed via:

  • Bank transfer
  • E-transfer
  • Digital wallet or equivalent method

7.3 Conditions for Withdrawal

Withdrawals may be delayed or restricted if:

  • Identity verification is incomplete
  • Proof-of-spend is required
  • Fraud or misuse is suspected
  • Escrow milestones have not been met

8. Escrow & Verified Spending Services (Optional)

If selected:

  • Funds may be released in milestone-based phases
  • Receipts, invoices, or documentation may be required
  • Surplus reallocation may require approval

Failure to provide required documentation may delay, reduce, or cancel fund release.


9. Rewards & Perks (Non-Financial Only)

You may offer non-financial rewards, including:

  • Merchandise
  • Digital content
  • Thank-you gifts
  • Gift cards (subject to issuer terms and applicable law)

You may not offer:

  • Financial returns
  • Equity or ownership interests
  • Debt instruments or profit-sharing

You are solely responsible for reward fulfillment.
Failure to deliver rewards may result in:

  • Platform penalties
  • Campaign suspension
  • Legal responsibility

10. KYC, Fraud Prevention & Verification

Fund Community First may require:

  • Government-issued identification
  • Business registration documentation
  • Additional verification as needed

Providing false information or refusing verification may result in campaign suspension or termination.


11. Promotion, Marketing & Communication

You may promote your campaign externally provided you:

  • Avoid deceptive or misleading claims
  • Use platform branding only with permission
  • Communicate respectfully and honestly

You grant Fund Community First a non-exclusive, royalty-free license to use your:

  • Name
  • Campaign title
  • Images
  • Descriptions

for platform-related promotion and marketing.


12. Data Privacy

Personal and campaign data is handled in accordance with our Privacy Policy, compliant with PIPEDA (Canada).


13. Reporting Requirements (Large or Long-Term Campaigns)

Campaigns that:

  • Exceed $25,000, or
  • Run longer than six (6) months

may be required to provide:

  • Periodic progress updates
  • Proof-of-spend documentation
  • Milestone reports

Failure to comply may delay fund access.


14. Taxes

You are solely responsible for:

  • Income reporting
  • GST/HST or other tax obligations
  • Compliance with applicable tax laws

Fund Community First does not provide tax, legal, or accounting advice.


15. Duplicate or Re-Launched Campaigns

You may not repeatedly launch duplicate campaigns for the same purpose without approval.
Re-launching campaigns may require platform review and authorization.


16. Intellectual Property

You represent and warrant that:

  • You own or have rights to all content you upload
  • You grant the platform a license to display campaign materials
  • You retain ownership of your content

17. Indemnification

You agree to indemnify and hold harmless Fund Community First and 13710645 Canada Ltd from any claims, damages, or losses arising from:

  • Misuse of funds
  • Failure to deliver rewards
  • Misrepresentation
  • Illegal activity
  • Intellectual property violations

18. Limitation of Liability

Fund Community First is not responsible for:

  • Campaign outcomes
  • Reward fulfillment
  • Business or reputational losses
  • Disputes between creators and supporters

Platform liability is limited to the service fees you paid in the three (3) months preceding the claim.


19. Suspension & Termination

We may suspend or terminate campaigns or accounts for:

  • Violations of these Terms
  • Fraud or suspicious activity
  • Harassment or abuse
  • Failure to verify identity
  • Failure to provide required documentation

20. Amendments

These Terms may be updated from time to time.
Material changes will be communicated through the platform.


21. Governing Law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein.


22. Consent

By launching a campaign, you confirm that:

✔ You have read these Campaign Creator Terms
✔ You understand your responsibilities
✔ You agree to be legally bound by them
